第一条，产品名称、价格、数量。

第二条，交货地点及时间。

第三条，加工形式。

第六条，结算方式。

1、支票结算。此合同签订后三日内，甲方须预付百分之五十的货款给乙方。

2、终结付款额，依据实际制衣件数，经双方认可后的款额支付。

3、甲方收到乙方全部货物并验收合格后，须在三十日内付清乙方全部货款。如有延误，每日须加付千分之二的滞纳金。

第七条，本合同有效期自签订之日起生效，到全部货款结清之日为止。

第八条，此合同经双方签字盖x后生效。如有一方在有效期内欲终止合同，需赔偿对方百分之三十的货款作为违约金。本合同一式两份，双方各执一份。

货物应具有防潮、防锈蚀、防震并适合于 的包装，由于货物包装不良而造成的货物残损、灭失应由卖方负责。卖方应在每个包装箱上用不褪色的颜色标明尺码、包装箱号码、毛重、净重及“此端向上”、“防潮”、“小心轻放”等标记。

卖方应将下列单据提交银行议付/托收：

(1)标明通知收货人/收货代理人的全套清洁的、已装船的、空白抬头、空白背书并注明运费已付/到付的海运/联运/陆运提单。

(2)标有合同编号、信用证号(信用证支付条件下)及装运唛头的商业发票一式 份;

(3)由 出具的装箱或重量单一式 份;

13.风险转移与所有权(risk and title)：

除非合同双方另有约定，货物毁损灭失的风险在交付后转移给买方承担。货物的所有权在买方支付了所有合同价款之后方始转移，但卖方保留所售软件以及其他知识产权的所有权。

14.不可抗力(force majeure)：

不可抗力是指不能预见、不能避免并不能克服的事件。因不可抗力所造成该方延迟或无法履行本合同中的义务，则该方不被视作违反本合同，无须向另一方负责，履行相关义务的期限可以相应延长。这些情形包括但不限于：天灾、战争、暴乱、火灾、爆炸、水灾、政府当局行为。

force majeure is defined as circumstances, which areunforeseeable，unavoidable and insuperable. ifforce majeure causes delay in or failure of a party’s performance of itsobligations pursuant to this contract, such party shall not be considered inbreach of this contract or be liable to the other party, and the term ofimplementation of such party’s respective obligation may be extendedaccordingly. the aforementioned circumstances include, but shall not be limitedto, natural disaster, war, unrest, fire, explosion, flood, acts of thegovernment..
