13.装运条款：
□fob
卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

14.装运通知

15.质量保证：

17.索赔

18.延期交货违约金
late delivery and penalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.争议之解决方式：
disputes settlement :
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

21.法律适用
law application :
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

本供货与服务合同(以下简称合同)兹由甲、乙双方签订。按照下述条款和条件，甲乙双方通过友好协商，签订本合同。
1、设备名称、规格型号、数量、价款、及材质。
2、合同签订地点：_____，签订时间：_____。
3、交货地点：_____，甲方收货人：_____。
4、交货时间：乙方应于收到预付款40天交付货物，甲方应于货物到达交货地点后____日内确认收货。
5、质量等级和特殊要求：严格按国家标准或行业标准生产制造，质量实行三包。甲方对乙方交付之货物有异议，应自确认收货之日起____日内以书面方式向乙方提出，如未按期限书面向乙方提出的，视为乙方所交付之货物符合合同规定。

7、货款支付方式：

※预付款，合同签订生效后，____日内支付合同总价的40%;

※调试款，设备安装、调试、正常运行后乙方向甲方开具增值税发票，甲方收到增值税发票后____日内，向乙方支付合同设备总价的30%，若因甲方原因致使在货到3个月内不能安装调试，视为安装调试合格，甲方应自视为安装调试合格之日起30日内向乙方支付调试款;甲方未按期支付调试款的，每逾期____日，按应付金额5%承担违约责任，逾期超过30日的，乙方有权解除合同、收回货物，前期已付款项转为违约金，不予退还;同时乙方保留对损失的追偿权。
※质保金，5%的余款作为质保金，在供货设备验收合格运行________年或货到18个月后，7日内一次性付清(以先到时间为准)。
8、不可抗力：任何由于不能预见、阻止或避免的不可抗力因素引起的迟交货或不能交货，如地震、台风、海啸、战争等。无论如何，乙方需立即就不可抗力事件对本合同履行的影响通知甲方，乙方仍需尽快安排生产等。若该事故持续超过3周，则双方可寻求仲裁或达成其它协议。
9、索赔：
乙方责任：除了本合同不可抗力条款中规定的原因外，如果乙方不能按期交货，须向甲方说明原因，协商延迟交货期。延迟期内，甲方可向乙方收取罚金，罚金为迟交部分货价的1%每日，从规定货期7天后开始计算，罚金总额不得超过迟交部份总价的5%。在此罚金的条件下，甲方应同意延期交货。如果乙方在合同规定的交货期后8周内还不能交货，则甲方有权取消合同，乙方必须将甲方支付给乙方的全部支付货款退回。如遇非乙方原因造成合同执行延迟，则交货周期相应顺延。
甲方责任：如果甲方不能按照本合同付款条件的约定按期付款，甲方则须向乙方支付延期付款罚金，按应付金额的1%每日计算。
10、仲裁和适用法规：如果合同有关当事方之间出现争议，当事各方应首先努力通过友好协商解决。如果在当事一方将争议书面通知另一方30天内仍不能协商解决，当事双方可以将此争执提交____市仲裁委员会进行调解仲裁。仲裁费用除另有约定外由败诉一方承担。在仲裁进行期间，除去有争议的部份，本合同应当继续执行。本合同适用于中国法律，若在中国法律没有相应规定，则参照国际通用商务条款规定。如遇诉讼，则只有被告方所在地法院具有管辖权。
1、技术现场服务：如果需要现场技术服务，甲方应提前两周通知乙方。乙方现场服务的来回机票、食、宿等费用由甲方承担。
2、乙方提供文件包括：产品说明书2套，包括系统中各部件的说明书、安装说明书2套，其中一套快递邮寄到甲方公司，另一套随货发运。
兹证明，合同双方由其正式授权代表在下述日期签署本合同。本合同一式五份，甲方执两份，乙方执三份，双方代表签字盖章生效。
