为了提高企业竞争能力，扩大企业的经营规模，根据国家有关法律法规的规定，甲、乙双方经协商一致，签订内部承包经营协议如下：

一、甲方授权乙方签订的建设工程合同，乙方实行自主经营，独立核算，自负盈亏的运营模式，所有的业务开支和办公费用由乙方承担，并独自承担经营过程中的债权债务和由此引发的全部经济风险、安全和法律责任。

二、承包方式及要求

1、工程管理费：甲方收取乙方承建项目工程合同价款的 %作为公司管理费，乙方不承担额外费用，甲方出具企业外出经营许可证给乙方，工程所有税收由乙方承担，工程款发票由乙方在工程所在地税务主管部门按税法依法缴纳税费，费用由乙方承担，乙方不能偷税、漏税，一经出现一切经济损失和法律责任概由乙方承担，甲方不承担任何责任，甲方不得挪用项目工程款，工程款到账后必须当天支付乙方，

第一次款项到账时，扣除

第一次款项的税金及管理费，剩余款项一次性支付给乙方，工程款

第二次到账后，把合同价款内的税金发票及工程管理费一次性扣除，剩余款项一次性支付给乙方。

2、甲方有权对乙方的经营状况进行监督指导，享受财务监督权、审核权、工程质量和安全检查权，乙方应当自觉接受甲方的监督，并尊重甲方派驻管理人员的权利，定期向甲方报告工作，听取意见和建 议。

三、甲方的义务

1、甲方在本协议生效之后，甲方协助乙方办理该工程的一切相关事宜。

四、工程管理

1、乙方承担为承接工程发生的招标费用、报建费用、施工过程的各项成本、工程保修期间所发生的费用、直至该协议终止前所发生的其他费用均由乙方承担。

2、项目中标后，乙方必须根据工程的规模、“质量和工期的要求及甲方与业主所签施工合同的要求，尽快组建项目经理部，选派得力的领导班子的施工队伍，提供实施工程所需资金、技术人员、机械和材料物资。

3、乙方为承担管辖范围内的工程负全面责任，严格执行国家施工验收规范、质量管理条例和强制性标准条文，甲方与建设单位签订的建设工程施工合同所规定的，承包人的全部责任和义务和甲方的各项工程质量管理制度，信守合同，维护甲方的信誉，全面负责工程的实施、养护，直至工程圆满通过竣工验收，承担保修期责任完成为止，若因履约不善造成的全部违约责任由乙方承担。

4、乙方必须贯彻落实国家、地方、行业的安全生产方针、政策、法规、标准和各项规章制度，对管辖范围内施工项目的安全生产负全面责任，发生一切大小事故概由乙方承担经济损失和法律责任。

5、乙方必须服从甲方下达的创安全文明工地计划，并负责实施。

6、乙方应定期组织安全质量生产检查，坚持“安全

第一，预防为主”的安全方针，严格执行安全奖罚制度。研究解决安全质量生产中存在的问题，对存在的安全质量问题应及时整改，消除安全隐患。

7、乙方必须组织并主持各种安全设施、设备的审查和验收，发现问题及时采取纠正措施。

8、乙方必须执行甲方的各项安全质量生产管理和环境、职业健康安全管理体系要求，服从公司的安全质量生产管理，接受公司的安全生产监督检查。定期向公司通报安全质量生产情况。如因乙方违约造成甲方经济损失、行政处罚等影响公司的名誉的，由乙方承担一切经济损失和法律责任，赔偿甲方名誉损失费和经济损失。

五、经营及相关管理

1、乙方不得超过甲方所授权范围进行经营，不得随意将承建工程进行转包。

2、对乙方需要甲方配合招投标工程预审文件、投标文件编制的，甲方认真积极配合力争符合相关文件编制要求，由此发生的差旅费及为达到文件编制要求所发生的一切费用由乙方承担，实报实销。经乙方要求甲方管理人员出差者，其经办人员的差旅费用、出差补贴、双休日加班费用(按国家劳动法有关规定)及对拟投标工程所开支的经费由乙方负责承担。

六、违约责任及协议解除

1、在工程竣工验收合格后，乙方将应项目经营内的各项债权债务处理完毕，如有债务纠纷，由乙方承担全部责任。

2、乙方承担违反甲方规章制度所签订合同、文件的经济、无限期法律责任。

3、乙方必须守法经营，若经营管理不善或出现安全事故导致通报处罚、停止投标或其他行政处罚导致降低资质的，甲方有权用该工程款支付相应费用，由乙方承担由此产生的经济损失和法律责任。

七、未尽事宜在双方协商后补充，有关本项目事项的洽商、变更等书面协议或文件视为本协议的组成部分，补充协议与本协议具有同等法律效力。本协议一式贰份，各持壹份。

八、附件：

1、甲方必须提供给乙方项目授权委托书，全权处理项目所有一切事务。

2、乙方提供给甲方本人身份证复印件一份。

第七条费用article 7 expenditure
