鉴于乙方与甲方合作中国大陆a、股股票投资的服务，且甲方已向乙方表明其拥有提供该项服务所要求的专业技术人员和技术资源，并同意提供服务，甲、乙双方依据《中华人民共和国证券法》、《证券、期货投资咨询管理暂行办法》《民法典》等相关法律、法规，本着平等协商，诚实信用的原则，就甲方向乙方提供中国大陆a股股票投资合作服务所涉事宜，签订本协议。

1.定义

除非合同中另有说明，本合同的下列术语具有以下含义：

a）“适用法律”指在中华人民共和国内具有法律效力的法律、法规及其它规范性文件；

c）“服务”指甲方根据本协议条款为完成协议所涉之项目而进行的工作；

2. 服务种类：甲方独立操做。

2.2 甲方接受乙方委托，向乙方提供中国大陆a股股票投资价值分析及操作。

3.利润分配、交付时间及方式

就本协议约定的服务，甲方确保乙方的年收益30%（记：投资一万元还一万三千元。如出现亏损全部又甲方承担）。期满后十日内以银行转帐形式向乙方退还本金加30%的收益，其余的收益全部属于甲方所有。

4. 责任及义务

4.1 甲方的义务

a）甲方应尽一切努力，高效和经济地按专业机构公认的标准和惯例履行服务和义务。

b）甲方服务时应遵守中华人民共和国的法律。

c）甲方在履行本协议的过程中不应为私利而挪用资金。

d）甲方应对服务工作量、完整性负责。

e）没有乙方的授权，甲方在任何情况下都不能转移基于本协议所应承担的义务；

4.2 乙方的责任及义务

a）依据本协议的约定按时，按量向甲方支付利润。

b）对于甲方完成本协议约定的所履行的服务，提供必要的协助。

c）乙方保证甲方在协议有效期内或协议期满后，均不承担乙方或代理人因错误行为、过失或违约而给乙方造成损失的责任。

5. 保密约定

5.1甲方保证并承诺，对于在本协议签订过程中及执行中，向乙方提供本协议所及之服务的过程中知悉的乙方财务状况、商业秘密及其它情况，负有严格保密的义务。

5.2 乙方保证并承诺，未经甲方书面同意，不得将甲方依据本协议所提供的中国大陆a、股股票投资研究分析或操作之内容向任何第三方泄漏或者透露。

6. 特别约定

甲、乙双方一致同意并确认，甲方仅依据本协议约定的服务种类向乙方提供投资研究分析和操作。

7. 协议的变更、终止及解除

7.1 在本协议履行过程中，发生下列情形，本协议自动终止：

a)因不可抗力事件，致使本协议无法继续履行的；

b)本协议期限届满。

7.2 乙方在本协议签订后两个交易日内，将资金足额打入甲方指定的操作帐号。不得以任何理由要求解除本协议及退还相关资金。

7.3 甲方若发现乙方私自将甲方所提供的证券投资研究意见和操作之内容，向其它人泄漏或透露的，甲方有权单方面解除本协议，并由乙方承担因此所造成的全部经济损失。

8、协议的生效及其它

8.1 本协议自甲乙双方签署之日起生效，有效期为拾贰个月至  年 月  日止。

3、甲方执行共同投资事务所产生的收益归全体共同投资人，所产生的亏损或者民事责任，由共同投资人承担；

4、甲方在执行事务时如因其过失或不遵守本协议而造成其他共同投资人损失时，应承担赔偿责任；

5、共同投资人可以对甲方执行共同投资事务提出异议。提出异议时，应暂停该项事务的执行。如果发生争议，由全体共同投资人共同决定；

6、共同投资的下列事务必须经全体共同投资人同意：

（1）转让共同投资于股份有限公司的股份；

（3）更换事务执行人。

第四条投资的转让

1、共同投资人向共同投资人以外的人转让其在共同投资中的全部或部分出资额时，须经全部共同投资人同意；

2、共同投资人之间转让在共同投资中的全部或部分投资额时，应当通知其他共同出资人；

3、共同投资人依法转让其出资额的，在同等条件下，其他共同投资人有优先受让的权利。

第五条其他权利和义务

1、甲方及其他共同投资人不得私自转让或者处分共同投资的股份；

2、共同投资人在股份有限公司登记之日起三年内，不得转让其持有的股份及出资额；

3、股份有限公司成立后，任一共同投资人不得从共同投资中抽回出资额；
