11.装运通知：一俟装运完毕，卖方应即电告买方合同号、品名，已装载数量、发票总金额，毛重，运输工具名称及启运日期等

12.检验与索赔

inspection and claims:

②货物到达目的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的＿＿＿＿＿＿天内凭＿＿＿＿＿＿检验机构出具的检验证明书向卖方索赔。

14.争议之解决方式：

disputes settlement:

任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国。仲裁裁决是终局的，对双方均有约束力。

15.法律适用：

有关贸易的心得体会报告二

委托人： (以下简称甲方)

受托人： (以下简称乙方)

关于甲乙双方于20_年 月 日签订的货运代理合同(合同号：)，为了进一步明确双方的权利义务，甲乙双方经友好协商，就甲方委托乙方协助办理货物转口贸易及运输事宜达成补充合同如下：

一、操作流程

1.乙方作为货运代理人接受甲方委托，代理甲方订舱，将甲方货物从中国港口出运到中转港马来西亚巴生港;

2. 货到马来西亚巴生港后，由乙方当地代理负责从港区提货并视需要在保税仓库内倒柜、包装等事务以及自行或委托第三方代理甲方进行货物增值服务;

3.乙方中转港代理完成相关的倒柜、包装等事务或相关货物增值服务后，将货物重新装柜并运输到甲方指定目的港;

4.乙方负责协助甲方取得最终目的港清关所需要的产地证、发票、装箱单等相关贸易单据。

5、乙方承诺，尽管由乙方在中转港的代理委托中转港工厂为甲方提供相关的货物增值服务，但中转港工厂不会以出口方的身份出现在该批货物再出口至第三国的海关清关文件上。

二、甲方责任：

1.甲方保证其出口的货物为合法货物，不得侵犯他人知识产权，否则由甲方承担一切法律后果;

2.甲方保证转口货物的包装为中性包装，不得在产品及/或任何包装上显示与中国有任何关联的标志、标识或任何其他唛头，否则由此引起所有责任和后果由甲方自己承担;

3.甲方与其客户之间的买卖合同纠纷或者由转口贸易引起的任何贸易纠纷均由甲方自行解决，与乙方无关。

三、 乙方责任：

1.货物在中转过程中，除非由于乙方或其代理造成货物损坏或丢失，否则乙方不承担货损货差的赔偿责任：如因承运人造成甲方货物损坏或丢失的，乙方有义务协助甲方向相关承运人索赔;

2.如甲方有要求的，乙方应当提供其代理在中转港拆箱时的理货报告或重新装箱、封箱状态的照片;

3.如因甲方自身货物问题或包装问题或其它自身原因造成的损失，乙方不负任何责任，但乙方会协助甲方做好相应补救措施，产生的费用由甲方承担;

4.货物在中转港装船出运后，乙方应当及时向甲方出具符合甲方要求的二程提单和其他清关文件;

5.乙方保证协助提供的目的港清关文件真实有效，但在目的港非乙方提供文件和操作失误原因引起的进口清关问题，乙方不承担责任;

6.乙方协助提供的目的港清关文件仅用于清关用途，并不意味着甲方与乙方或清关文件上的相关方存在买卖合同关系，甲方不得以该清关文件为依据向乙方及/或乙方代理及/或中转港相关第三方主张任何货款;

7、因乙方在中转港当地的代理或代理所委托的第三方在中转港为甲方提供提货、倒柜、包装、转运、清关等相关货物增值服务过程中的瑕疵而致使甲方与其客户之间发生买卖合同纠纷、转口贸易纠纷，与承运人发生运输纠纷，或与海关、港口管理部门等发生进出口管制纠纷，造成甲方经济损失的，乙方因对此承担赔偿责任。

四、甲方货款结算

1.甲方自行负责与目的港客户之间的货款结算和其他相关事务，与乙方无关;

2.除非甲方提出书面要求并经乙方同意，否则乙方无义务为甲方提供货款代收代付的义务;

3.乙方同意甲方第三国目的港客户的货款经过乙方中转港的代理收取后转汇给甲方，乙方无条件地保证其中转港的代理能将货款转付给甲方，否则，乙方将承担连带支付责任。但乙方及/或其代理有权收取手续费，手续费率由甲乙双方另行商定;如乙方代理代收货款的，乙方代理
