乙方：

鉴于甲乙双方彼此长期友好的战略合作伙伴关系，现就双方进一步合作事宜，本着平等互利、共同发展的原则，经过甲、乙双方协商，达成如下协议。

第一条 声明和保证

1.1甲方是微软、h3c等国际著名厂商认证考试培训中心及考点。

1.2乙方拥有具备签署本协议所需要的相应权利。

第二条 合作内容

通过双方的资源共享、优势互补，现达成如下战略合作内容。

1.1 华育国际授予首府人才市场为其授权“认证考试培训中心”。使之能够对待业者进行专业的计算机网络方向认证培训。并提供师资支持。

1.2 首府人才市场授予华育国际为“首府it人才培训基地”。华育国际就教学、实训等方面与首府人才it培训进行深层次的合作。

第三条 甲方的权利和义务

1.1 甲方拥有在乙方宣传、推广相关合作认证的权利。

1.2 甲方要将认证体系、费用等详细信息及时通知乙方。

1.3 甲方要及时与乙方进行沟通，就认证培训开课时间、上课方式等进行持续的沟通。及时确定好每期认证培训的授课日期以及考试安排。

1.4 甲方要保证好乙方学员的上课质量以及试验设备配备齐全。

1.5 甲方派一名老师协助乙方培训一门自有网络方向课程。

第四条 乙方的权利和义务

1.1 乙方要及时在首府人才市场宣传栏，对合作的认证培训进行宣传。对甲方的宣传工作予以配合。

1.2 乙方根据宣传及学员响应情况，合理的制定培训及考试日期，并及时通知甲方。安排好授课地点。及准备好上课资源。

1.3 乙方负责完成学员全部报名手续，并负责收取学员学费。

第五条 费用条款

5.1 详细甲方认证培训体系及费用体系见(附件一)。

5.2 乙方负责相关费用的收取工作。

5.3 乙方在收取完费用，开课16课时内将费用交与甲方财务人员。

5.4 乙方负责甲方授课老师课时费(限于讲授乙方自有课程时)，每课时(45分钟)费50元。

第六条 违约责任

任何一方未履行本协议项下的任何一项条款均被视为违约。在此情形下,甲乙双方可就此问题进行协商,协商不成的,按本协议争议条款解决。

第七条 保密

双方对彼此之间提供的信息、资料以及本协议的具体内容负有保密责任。

第八条 免责条款

因不可抗力导致甲乙双方或一方不能履行或不能完全履行本协议项下有关义务时，双方相互不承担违约责任。但遇有不可抗力的一方或双方应于不可抗力发生后15日内将情况告知对方，并提供有关部门的证明。在不可抗力影响消除后的合理时间内，一方或双方应当继续履行协议。不可抗力事件包括严重自然灾害、政府行为、第三方服务故障等不可抗拒的事件。

第九条 争议的解决

因履行本协议所产生的争议，任何一方有权选择将争议提交当地仲裁委员会仲裁或向当地有管辖权的法院提起诉讼。

除正在仲裁或诉讼的争议事项外，双方应继续行使其本协议项中的其余权利，并履行本协议项中的其它义务。

第十条 通知

一方向另一方发出的书面信息，应按本协议列明的地址以邮件或图文传真的方式发送。任何一方对其联系方式的变更应及时书面通知对方。

第十一条 协议期限

本协议有效期为 2 年，自双方签字盖章之日起生效。

第十二条 附则

13.1如遇国家调整有关资费标准，或双方主管部门下达有关政策文件，双方本着真诚合作、友好协商的原则另行商定收费方法。

13.3未经甲乙双方书面确认，任何一方不得自行变更或修改本协议。

13.4本协议一式两份，甲乙双方各执一份。

13.5本协议所有附件作为协议不可分割的组成部分，与协议正文具有同等法律效

(1) an exclusive license to manufacture， use and sell licensed product under party b’s patents according to the terms and conditions of the patent license agreement attached hereto.

（2）商标独占许可——依据本协议的专利许可协议，用乙方商标销售许可产品。

(2) an exclusive license to use trademark in marketing licensed product according to the terms and conditions of the trademark license agreement attached hereto.

（3）专有技术独占许可——根据本协议的技术援助协议，用乙方专有技术生产和销售专利产品。
