我们在审计贵公司20xx年度会计报表的过程中,调查研究了贵公司与年度会计报表审计相关的内部控制制度的健全性和有效性。由于建立、健全内部控制是贵公司的责任,我们的责任是对贵公司提供的会计报表发表审计意见,而不是对内部控制整体表示意见和提供保证。根据《中国注册会计师独立审计实务公告第2号——管理建议书》,我们仅就审计年度会计报表过程中发现的,可能对贵公司的会计报表及相关资料产生不利影响的重大内部控制缺陷提出改进建议。
我们在研究与评价贵公司内部控制制度的健全性及执行的有效性过程中,发现下列情况,我们认为,这些情况的存在有可能对贵公司会计报表整体反映不实或产生不正当行为,而且不能在适当的期间被及时发现,我们就这些问题提出以下建议:
一、贵公司在内部控制的销售与收款循环中存在设计上缺陷:
1、对赊销行为缺少授权审批环节。销售人员在不了解购货单位的财务状况和资信能力的情况下,决定赊销行为。这种内部控制的缺陷使贵公司本年度应收账款周转率和速动比率比上年有较大降低,速动资产减少,资产的流动性变差,公司又提前负担了税款。
建议增加一个部门或由现有部门增加对赊销的审批职能,即在对赊销单位决定赊销前,对其偿债能力进行分析,对偿债能力强、信誉好的单位给予赊销,减少发生坏账的可能性,避免给公司造成损失;建立销售定价控制制度,制定价目表、折扣政策、付款政策等并予以执行。
2、对逾期应收账款催收力度不足
应当建立应收帐款账龄分析制度和逾期应收账款催收制度。销售部门应当负责应收账款的催收,财会部门应当督促销售部门加紧催收。对催收无效的逾期应收账款通过法律程序予以解决。
3、缺乏销售退回管理制度
建议建立销售退回管理制度,销售退回的货物应由质检部门检验和仓储部门清点后方可入库。质检部门应对客户退回的货物进行检验并出具检验证明;仓储部门应在清点货物、注明退回货物的品种和数量后填制退货接收报告。财会部门应对检验证明、退货接收报告以及退货方出具的退货凭证等进行审核后办理相应的退款事宜。
4、销售合同评审流于形式,未能形成完整的资料
建议合同评审要形成完整的书面资料,并装订成册,形成档案。
5、销售与发货各环节相关资料不全,并缺乏必要的核对工作
建议在销售与发货各环节设置相关的记录、填制相应的凭证,建立完整的销售登记制度,并加强销售合同、销售计划、销售通知单、发货凭证、运货凭证、销售发票等文件和凭证的相互核对工作。
6、销售部门发货后未能及时收集客户的验收合格证明并形成档案
建议销售部门发货后,要及时取得有客户签章的对所发车辆的验收合格证明,以明确合同双方责任,避免质量纠纷。
二、采购业务授权批准制度未能得到有效执行,采购业务的记录登记制度不完整。建议充分了解和掌握供应商的信誉、供货能力等有关情况,采取由采购、使用等部门共同参与比质比价的程序,并按规定的授权批准程序确定供应商。小额零星采购也应由经授权的部门事先对价格等有关内容进行审查。
建议应当按照请购、审批、采购、验收、付款等规定的程序办理采购与付款业务,并在采购与付款各环节设置相关的记录、填制相应的凭证,建立完整的采购登记制度,加强请购手续、采购订单(或采购合同)、验收证明、入库凭证、采购发票等文件和凭证的相互核对工作。
三、生产管理的内控制度未能得到有效的执行,生产记录登记不完整,生产车间对限额材料的使用情况缺乏有效控制,对呆滞、积压的存货未能及时、有效的处理。
建议强化对生产现场“6s”管理的落实,强化生产部门与销售、仓库、财务部门的对账工作,完善生产控制记录,明确责任。
建议加强对仓库呆滞、积压存货的处理,盘活存量资产。
四、开户银行之间资金划转的内控制度未能得到有效的执行,不同开户行之间资金的转移缺乏相关人员的授权签批手续。
建议加强对银行开户及不同行之间资金转移的内控管理,建立授权签批机制,完善审批手续,保障资金的安全。
以上不是内部控制可能存在的全部缺陷,本管理建议书不应被视为对内部控制整体发表的鉴证性意见,也不能解除贵公司建立、健全内部控制制度及保证其有效执行的责任,并且不影响我们应当发表的审计意见。

消费者以周围居民和农民为主。销售结构较低,主要销售兰州系列、大青山、黄山系列,云烟系列等消费者熟悉的中低档卷烟。日常经营者40岁左右,经营方式保守,消费者要什么品牌该零售户就购进什么品牌,不懂得分析核算,对新品牌总是持观望态度,对于商品的更新换代不是主动购进培育、销售,而是等顾客上门购买的时候才购进。只注重经营一些畅销的紧俏品牌,但这些品牌限量供应或者断货的时候进货量和销售额大幅下降。

3、经营特点分析:卷烟经营品种较少,且都是成条放于货架上,卷烟出样效果较差,未明码标价,因卷烟经营份额所占总收入比重较小,客户的卷烟商品知识淡薄,导致客户的卷烟经营重视度不高。
经过以上几点分析发现该客户经营位置优越,所处商圈类型对其提升卷烟经营获利水平优势显著。只是由于其对卷烟不重视,主营定位较窄,经营方式不当,造成了目前卷烟经营成了可有可无的陪衬。
针对上述情况,为该客户制定了经营指导,措施和建议如下:
1、拓宽经营定位:帮助客户对主营商品和兼营商品进行盈利分析,建议合理利用经营资金,对兼营商品也要充分重视,在资金投入、店面陈列区域、柜台摆放面积等各方面给予充分重视,以增加盈利。
2、开辟卷烟专区:建议客户配置卷烟专架,调整卷烟陈列,扩大卷烟经营面积。积极推荐适销品牌,增加经营卷烟个数,注重卷烟出样效果和明码标价。同时,向客户宣传卷烟经营政策和烟草商品知识,提高客户卷烟经营重视度,配合度。

3、关于文件打印方面。建议废纸的多次使用。虽然纸张非不贵,但今天浪费一张明天也浪费一张,一个月一年累积起来也是一笔不小的费用,所以非正规文件用纸,建议大家采用作废纸张文件的背面打印,达到节约用纸的目的。对于这一点各部门已经做得很好了。
4、关于下班后关闭公司相关设备的问题。每天下班后电脑是全部关闭了,但还有一些显示器和打印机还是开着的,虽然这样基本耗费不了多少电,但第二天开闸的瞬间会给机器带来一定损伤,从而缩短了机器的使用寿命,所以建议公司的每位同事下班后别忘了检查自己的显示器以及打印机是否关闭了。
5、关于公司的评比及奖励。公司即然制定了这个制度,那么是否也应该采取一个奖励制度,以激励公司每位成员为公司的发展添砖加瓦。对于提出的合理化建议者,公司通过论证若切合实际,有可行性,操作性强的。一经采纳,给予一定奖励。此奖励根据建议的优秀程度递增。
1、各个部门的沟通要流畅,坚持高度的和谐。
建议改善的方法:加强各门门之间的感情的沟通,在不损坏各部门利益的基础之上要使各个部门的小利益同公司的大利益相互和谐,使几个目标和为一齐,这样我们的工作才能取得较大的提高。对于些工作文件政策之类的书面规定,必须要全面的落实,异常是销售和财务部门要及时地联系。不要等到问题发生实在解决,那时不仅仅事倍功半,同时也会严重的影响进取性。
2、一切要以事实说话。

建议改善的方法:有些事情我们不能的干一件说一件,好多事情是能够归结成一类的,要尽量归结成一个制度或是流程,避免重复。比如我们对一些代理商的政策,我们销售部门都执行好几个月了,财务竟让不明白该政策,弄得我们的信誉受到很大的打击,我们的一些政策要及时地下发给各个部门,别再让我们每次给代理商落实政策时都要经过好几个领导的签字,不仅仅代理商的进取性受到打击,我们也跟着倒霉,代理商对我们的信誉不再信任,我们对公司的一些争将不再进取了。这是很危险的,建议将公司的一些政策切实落实到各个部门避免此类情景再次发生。
1、公司员工越来越多,但是除了专利部的人员以外,其他部门的人员工作内容一般涉及的很多,不确定每个人的工作范围是什么,在工作中出现什么问题的话不知道找谁去解决,这是个比较严重的问题,建议可以把除了专利工程师以外的人员的工作职能做一下汇总。
2、在专利部外出送票和送证书,可以统一做下规定,比如说每周的周五有专利工程师要送的票可以派个代表去送下,不管是谁负责的客户都可以去送,因为企业那边万一临时有专利方面的问题的话,只有专利工程师可以解决,如果让其他部门的同事去送票,关于专利方面的问题有可能是解决不了的,企业那边肯定还会要求工程师再去,这样不仅耽误了其他部门同事的工作,还会让企业觉得我们公司的工作人员不够专业。
3、现在虽然公司实行了签到制度来进行考勤,但是还是不完善,有点不理想,缺乏公正性,公开性,建议公司还是像别的企业一样,实行刷卡考勤制度。
4、休息活动
建议公司可以购置些体育器材之类的,比如说羽毛球、乒乓球等,可以在饭后进行消遣时间,还可以锻炼员工的身体素质,提高抗病性,冬天感冒很普遍,自我感觉这个还是有必要实行的。
5、新工程师学习
新进的专利部工程师在客户交流方面有很多欠缺的地方,希望已经取得代理人资质的工程师可以多带着出去跑跑客户,不管什么专业都可以多学习东西。
6、关于新进的专利案子——平均分配
每个工程师出去挖来的专利,自己可以留下来写,前提肯定是自己的案子手里面没有或者很少的情况下,如果本来手头就有案子在写,不妨先分给其他的同事来撰写,这样在时间上肯定实现了合理分配,本来自己手里就有案子了,怎么可能那么及时的撰写新进的案子,不仅耽误了客户的时间,对于其他工程师也是不公平的。
