11.装运通知：一俟装运完毕，卖方应即电告买方合同号、品名，已装载数量、发票总金额，毛重，运输工具名称及启运日期等

12.检验与索赔

inspection and claims:

①卖方在发货前由＿＿＿＿＿＿＿检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。

②货物到达目的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的＿＿＿＿＿＿天内凭＿＿＿＿＿＿检验机构出具的检验证明书向卖方索赔。

14.争议之解决方式：

disputes settlement:

任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国。仲裁裁决是终局的，对双方均有约束力。

15.法律适用：

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售合同公约》。

一般条款

1、财产权转移

货物的财产权以交货为转移。

2、保证

(a)如果货物发现缺陷，买方必须在到货后三十天内以书面形式通知卖方。

(b)卖方保证货物品质规格符合卖方的规格说明。

3、不可抗力

由于不可抗力及其他超过买卖双方控制能力范围的原因造成不能完成合同义务，买方和卖方均不予负责。

4、赔偿

如果卖方不能履行由于向买方出售上述货物而承担的义务，买方因此造成的损失或损害，卖方均应向买方赔偿。

5、合同的取消

如果卖方没有或不能遵守合同，没有或不能履行义务，买方有下列权利：

(a)有关货物，包括已运抵买方的货物，不论财产权是否转移，均可退回卖方，费用由卖方负担;或者撤销全部或部分订单，不论撤销时货物是否运出或财产权是否已转移。在上述情况下，卖方应立即退还已付款项。买方对此概不负责。

(b)买方行使本合同第五条所赋予的权力并不损害或影响其他行动权利和获得由此产生的应得的赔偿金的权利。

6、专利权的侵犯

如果买方因使用或售出上述商品侵犯或被认为是侵犯他人专利权、注册的设计权、商标、牌号而受到牵连，一切费用和损失，卖方应负责赔偿。

7、仲裁
